Corporate Governance and Compliance Administrator Quantum Legal is looking to add a superstar to its team to work with its compliance and legal teams to support and increase the efficiency and effectiveness of its corporate governance and compliance processes across the Company. Reporting to the Director of Risk and Compliance, this person will also work closely with the legal, finance and HR teams to assist in the global subsidiary corporate governance and maintenance. Primary roles and responsibilities will include the following: Subsidiaries Manage, update and maintain the Company’s subsidiary database, the subsidiary records and minute books and the annul calendar for all subsidiary events, including annual meetings, annual report filings; Assess requirements and differences between jurisdictions to ensure appropriate treatment, work with external regional counsel as needed; Manage and track workflow of all necessary information changes and updates; including communicating with internal and external stakeholders including tax, finance, treasury, accounting and operations, processing related expenses; Prepare resolutions and powers of attorney for subsidiary activities as needed; Document all intercompany transactions (eg. intercompany loans, intercompany sales or service agreements) and communicate same to appropriate stakeholders; Maintain relevant policies and update as needed; Review all subsidiaries at least annually to confirm that all entities are up to date, appointments are in order; prepare for and conduct sessions with stakeholders to communicate material changes. Compliance Assist with identifying, defining, auditing, and reporting on applicable US and international risk and compliance requirements and related business practices; Conduct anti-corruption and other third-party compliance risk due diligence; Work with trade compliance and legal to assist in coordination of screening and on-boarding distributors, resellers, channel partners, contract manufacturers, key suppliers, and key service providers; Assist with compliance process and program documentation, code of conduct maintenance, hotline management, and related training efforts; Work with IT department and business stakeholders to define and document internal and external data flows in the context of applicable data privacy requirements; Work with legal department to assist in reviewing privacy and compliance language in contractual agreements; Assist with tracking company-wide employee completion of compliance requirements (code of conduct acknowledgement, training completion, etc) and perform related follow up; Serve as initial point of contact for legal department matters in Asia Pac, as well as risk and compliance questions and refer to appropriate resources as needed; Candidate requirements include the following: At least 3 years of hands-on experience managing and supporting international subsidiary governance and maintenance; At least 5 years of direct experience conducting anti-corruption due diligence and compliance analysis for a multinational company, including detailed knowledge of FCPA and UKBA requirements; Demonstrable hands-on experience with and understanding of privacy requirements for contracts involving international data transfers and data processing agreements; Working knowledge of other general corporate compliance/code of conduct topic requirements; Strong critical thinking and analysis skills and high level of pride and ownership in work product; Ability to maintain protection of confidential internal information and employ a high level of discretion; Strong verbal and written communication, including written process documentation; Proficient with Microsoft Office programs.
