Operations and Systems

· Oversee and perform day-to-day administration functions required in the scope of administration services provided to clients

· Documents the procedures; ensuring these observe proper authorisation, have supporting records and are systematically and logically filed to facilitate retrieval

· To process work according to the logical units of the department, applying and identifying work methods for segregation the roles in preparing for the growth of business

Structure Implementation and Set-up Support

· Receive briefing from marketing/structuring teams/Head of Department for job implementation and fund structures, understanding what communication channels must be set up, what services must be subscribed for and what the roles of other parties are in each fund set up

· Identify administration requirements of each fund by reviewing documentation and preparing the operations flow ahead of each fund launch

· Set up in Paxus on the reporting format, forms, templates, and the accounting backbone of each new funds

3.

Accounting, Valuation and Fund Calculation

· Update continuously our practises in accordance with developments in International Financial Reporting Standards (IFRSs)

· Document accounting policies, as well as the terms and conditions as sets forth in the fund agreements (e.g. Fund Operating Memorandum, Limited Partnership Agreements, Fund Contracts, etc), that will serve as our fund accounting reference and standards

· Document fund calculation method and processes for each funds as set out in the fund agreements that will serve as our fund administration operational reference

· adoption of these standards in our day-to-day operations; set cut off time schedules; set accruals and prepayment frameworks to proactively address the operations of each fund; set up payment and receipt, billing schedules for monitoring

· Set up in advance of each fund launch the accounting and valuation backbone in Paxus

· Preparing books of accounts, calculating the Net Assets Value (NAV) with reference to share movements and preparing financial statements tailored to client requirements; to ensure maximum efficiency and accuracy in the preparation of the accounts/calculation

Reporting

· Identify in advance what the responsibilities of the department are in respect of fulfilling the reporting obligations of each fund to its respective fund jurisdictions; set out the measures and time schedules to meet these responsibilities at the set up of each fund

· Identify in advance what the reporting requirements of the department are in respect of fulfilling its reporting obligations to LFSA; set out the measures and time schedules to meet these responsibilities as early as practicable

· Identify in advance what the responsibilities of the department are in respect of fulfilling the reporting obligations of each fund to its investors/ shareholders/ units holders; set out the measures and time schedules to meet these responsibilities at the set up of each fund

· Assist in preparation of any other ad-hoc report required of any fund or of the department

· Set up in advance of each fund launch the reporting format, forms and templates in Paxus

· Ensure the Fund Reporting and provision of the NAV for each of the fund respectively are reported in a accurate manner, and the current and potential investors have timely access to these reports/valuations

5.

Communication and Liaison

· Liaising with all service providers (e.g. banks, investment banks, legal firms, investment advisors, brokers, price agents, etc) of each fund

· Liaising with client/ fund managers and investors/ shareholders/ units holders on day-to-day matters relating to each fund

· Liaising with external auditors/ tax advisors for the year end audit/ annual tax reporting requirements of each fund

· Liaising with other service providers/support team within TMF Group (e.g. Secretarial services, Custodian services, Treasury Operation Department, etc) on the related matters associated to each fund

6.

Registrar and transfer agency

· shareholder / investor acceptance (based on compliance standards set by the Fund which are reviewed and accepted by TMF Group Compliance)

· Provision of share registrar, transfer agent, and settlement facilities

· Maintenance of the register of investors and investor details

· Maintenance of capital account for partnerships

· Process all subscriptions, redemptions, transfers, switches and capital calls processing

· Perform Anti-Money Laundering and Know Your Client check

· Communication with registered investors include distribution of notices, announcements, furnishing of periodic financial and/or investor statement and reports

7.

Custodian

· Opening and operating of custodian/trustee bank accounts

· Cash custodian and payment / remittance handling, monitoring receipt of money

· Arranging disbursement of funds for trade settlements, income distribution and approved fund expense payment in accordance with the instructions of the authorised officer or board of directors of the fund

· Safekeeping services for all title documents including share certificates and agreements for unlisted securities

8.

Compliance

· Ensure the operations of each fund with regards to its dealing with service providers, investors and any other party, while adhering to its own compliance procedures, do not go against the compliance standards of TMF Group

· Consult the Local Compliance Officer and/or Group Compliance for direction in the event of non-clarity

9.

Confidentiality

· To strictly observe that details of the above operations and any aspect of the Company’ clients are not to be disclosed or discussed outside the course of executing your responsibilities

· Adhere to the requirements under the Personal Data Protection Act 2010
