Governance & Projects (G&P)- Manage and administer Board/Committee succession- Implement recommendations by the Boards on improving the effectiveness of the Boards and Board Committee arising from the BEA exercise- Monitor the composition and skillsets of the Boards and Board Committees to ensure optimum deliberation and contribution to the entity and Group- Any other matters pertaining to G&P, as and when required.- Corporate Secretarial- Perform the duties and responsibilities of a Company Secretary as required by the Companies Act, the Company's Constitution, and any other relevant legislation or regulation by:- Ensuring that the Company complies with its statutory obligations under any relevant laws and regulations.- Ensuring completion and lodgment of statutory forms/returns and reporting under the Companies Act 2016 (CA) and other relevant legislation/regulations.- Ensuring compliance with the 'continuous disclosure' requirements of the CA, Bank Negara Malaysia (BNM), Bursa Malaysia Berhad, Securities Commission Malaysia (SC) and other relevant regulatory rules and guidelines.- Preparation of pre and post meetings of the Board of Directors, Board Committees and Management Committees as well as Annual General Meetings, including preparation of board papers, minutes, resolutions, annual returns and statutory documents.- Recording declarations/conflicts of interest of Directors, including in relation to securities held in the Company.- Assist the Boards in the conduct of meetings and their directorial and governance obligations and responsibilities.- Carry out other duties related to the corporate administration of the Company.- Carry out other functions, if any, required by the Group Company Secretary.- People Management- Contribute to the performance of the team by displaying a positive and enthusiastic attitude, showing support and involvement in all activities.- Demonstrate behaviors which can help build and motivate staff.- Assist to develop, build and lead an effective and cohesive team that operates seamlessly across borders.- Manages the performance of the team- Regulatory Compliance- Ensure compliance with all legislative and company processes and policies.
